Our client is a midmarket law firm with a national footprint. The Corporate group assists a diverse array of clients in corporate transactions both domestically and internationally. They advise clients on virtually every form of corporate transaction, including contested and negotiated acquisitions, friendly and hostile tender offers, takeover defenses, leveraged buyouts, corporate spinoffs, holding company formations, corporate auctions, mergers of equals, privatizations and strategic acquisition and divestiture programs. They also represent buyers and sellers, as well as management teams and minority owners. In addition to traditional merger, asset, and stock purchase transactions, they advise on completing recapitalizations, management and non-management leveraged buyouts, spin-offs, reorganizations, and other complex restructurings
They are looking for an attorney with between 4 and 7 years of strong M&A experience, particularly in mid-market work, and be able to manage deals independently. Specific job duties include: (i) drafting merger closing documents, including shareholder consents, appointment of directors, minutes, and due diligence documentation; (ii) drafting corporation formation documents, such as bylaws, articles of incorporation and articles of formation; (iii) drafting and reviewing required annual filings for public companies; (iv) reviewing contracts and corporate documents ; (v) communicating with corporate and private company clients in relation to legal requirements, diligence inquiries and other matters; (vi) identifying potential issues arising from contractual and legal obligations that come into conflict with proposed transactions; (vii) reviewing, analyzing, and concisely summarizing the implications of complex corporate structures and the implications of mergers, acquisitions, or other restructurings; (viii) organizing, managing and reviewing attorney due diligence review, inquiries, and document summaries associated with acquisitions and mergers of public and private companies of various sizes; and (ix) preparing and reviewing investment documents related to private placements of securities.
Academics must be outstanding-above a 3.5 GPA.
